Ongoing costs of a Texas Series LLC
Texas does not charge an
annual fee to keep an LLC or Series LLC in good standing. For franchise tax purposes, the
Texas Comptroller treats a series LLC as a single legal entity: it files one franchise tax report and one Public Information Report covering the Series LLC and every protected series inside it, under one Texas taxpayer identification number. This is another advantage over multiple LLCs, where each entity files its own reports. The Comptroller’s guidance does not specifically address registered series, so if you use registered series, confirm the filing approach with your CPA.
