Convert to a Series LLC

One would convert from a traditional LLC to a Series LLC if you would like to take advantage of the benefits a Series LLC offers. The kinds of activities that would make a Series LLC enticing are:

• Expanding from one service area to two or more (i.e. a remodeling business that wants to expand into property management); or
• Acquiring one or more high value assets (i.e. real estate company acquiring a 2nd rental).

Refresher: A traditional LLC installs a limited liability barrier between the LLC and its owners (i.e. the LLC owners can't be sued for LLC debts). A Series LLC places limited liability barriers between different divisions (aka "series") of the same LLC. In other words, one series cannot be held liable for the debts of the others. Each series can essentially do what a traditional LLC can do.

We charge $650 (+ state filing fee of $150) to prepare and file the  paperwork necessary to convert your LLC to a Series LLC.

When completing the interview you will see the following options/add-ons:

• create 1 or more (sub) series ($300/series)
• change the LLC name ($200)

We'll need to review your governing documents to determine exactly what is required. The following documents are typically required to convert a traditional LLC into a Series LLC:

• Authorizing Resolution
• Certificate of Amendment ($150 filing fee)
• Amendment to Company Agreement*

*If you do not have a Company Agreement, we can create one for you at no extra charge.

Generally speaking, it takes about 1 week to convert a traditional Texas LLC to a Series LLC.  We try to prepare all of the conversion paperwork and forward to you via email on the same day we receive your request/order (following business day if we receive your order after 2:00pm CST).

All of the documents we sent to you will require at least one signature.  Once we receive the signed documents back from you, we will file the appropriate paperwork with the Texas Secretary of State.
