Texas Series LLC Costs

What does a Texas Series LLC cost?

A Texas Series LLC costs $300 to form. That is the Texas Secretary of State's fee to file the Certificate of Formation (Form 205, with special Series LLC language), the same fee as a regular LLC.

Series LLC vs multiple LLCs: the cost comparison

The real cost story is not the Series LLC versus a single LLC. It is the Series LLC versus forming a separate LLC for every property. Suppose you own three rental properties and want each one insulated from the liabilities of the others. You have two options: one Series LLC with three protected series, or three separate traditional LLCs.
Series LLC with 3 protected series 3 separate traditional LLCs
State filing fees $300 (one filing) $900 (three filings)
Our LLC formation fee $500 (one LLC) $1,500 (three LLCs)
Our protected series fee $900 ($300 x 3) $0
Grand total $1,700 $2,400
Registered agents needed 1 3
Bank accounts required 1 minimum 3
Annual franchise tax filings 1 3
EINs required 1 minimum 3
Liability separation between properties Yes (to the extent records are properly kept) Yes
The savings grow with each property. Ten properties in ten separate LLCs would be about $8,000 ($800 x 10). Whereas, one Series LLC with ten series would be only $3,800 ($800 plus ten series at $300 each).

Ongoing costs of a Texas Series LLC

Texas does not charge an annual fee to keep an LLC or Series LLC in good standing. For franchise tax purposes, the Texas Comptroller treats a series LLC as a single legal entity: it files one franchise tax report and one Public Information Report covering the Series LLC and every protected series inside it, under one Texas taxpayer identification number. This is another advantage over multiple LLCs, where each entity files its own reports. The Comptroller’s guidance does not specifically address registered series, so if you use registered series, confirm the filing approach with your CPA.

When a Series LLC is NOT the cheaper choice

If you own one property or run one business, a Series LLC will not save you money over a traditional LLC. A Series LLC earns its keep when you hold, or plan to hold, multiple assets that each deserve their own liability protection.

Frequently Asked Questions

How much does a protected series cost?

$0 in state fees. A protected series is not filed with the Secretary of State. Our fee to create a protected series is $300, which includes the series addendum, organizational meeting, and transfer ledger for that series.

See our protected series vs. registered series article for more details.

How much does a registered series cost?

The Secretary of State charges $300 to file a Certificate of Registered Series, plus $150 to amend it and $40 to terminate it. Our fee to create a registered series is $300. Most real estate investors use protected series instead, which cost nothing to file with the state.

See our protected series vs. registered series article for more details.

Is a Series LLC more expensive than a regular LLC?

Both have the same hard costs ($300 filing fee) and we charge the same flat fee ($500). A Series LLC will often require the creation of one or more series, which are $300 per series. Forming multiple LLCs is often more expensive than a Series LLC with multiple series.

See the Series LLC vs. multiple LLC comparison chart.

Is a Series LLC cheaper than forming multiple LLCs?

Almost always, when you use protected series. Three properties in three separate LLCs cost $900 in state filing fees. The same three properties in one Series LLC with three protected series cost $300. The gap widens with every property, and you avoid duplicate registered agents and annual filings.

Are there annual fees for each series?

No. Texas does not charge annual fees per series. Per Texas Comptroller guidance, the Series LLC files one franchise tax report and one Public Information Report as a single entity, covering the Series LLC and all of its series.
