What is the purpose of an annual meeting?

Each year, the shareholders of a corporation (or members of an LLC) should elect decision-makers (i.e. a board of directors) and then the decision-makers appoint officers to handle day-to-day activities. These events usually occur at annual meetings. In large organizations, the annual meeting is an actual meeting and requires proper notice and a formal vote. In small businesses, where these decisions are typically unanimous, the annual meetings are almost always replaced by a simple document known as a Unanimous Consent in Lieu of Annual Meeting (commonly referred to as a "Consent").
